1. Who we are

The City Mesh (the "Platform") is an e-commerce service operated by Sergi Cañas Galindo, sole trader (autónomo), with registered address at Rambla de Fabra i Puig, 39, 08030 Barcelona, Spain. Contact: info@thecitymesh.com.

2. What is sold on the Platform

The Platform lets Creators publish a 3D hexagonal city tied to a project. Buyers (each a "Sponsor") purchase a permanent visual placement digital service: a hex on the project's 3D map with their name, logo, and link attached. This is not a donation. It is the sale of a digital service subject to VAT (IVA in Spain).

3. Who can sell (Creators)

Anyone, individual or legal entity, may create a city and sell hex placements, provided they:

  • Have legal capacity to contract.
  • Meet their own tax and registration obligations in their jurisdiction (registering as autónomo or as a company where applicable).
  • Hold an active, fully-verified Stripe Express account (Stripe handles KYC).
  • Do not breach Section 6 ("Prohibited content").

The Creator is solely responsible for declaring and paying tax on the share of revenue they receive (90% of the net-of-VAT amount, after deduction of payment-processing fees). The Platform acts as a technology intermediary and, via Stripe Tax, issues the VAT invoice to the Sponsor for the full transaction.

4. Who can buy (Sponsors)

Any natural person aged 18+ or legal entity with capacity to contract. The Sponsor represents that the funds used are not derived from unlawful activity and acknowledges that the digital service is delivered immediately upon payment confirmation.

5. Price, VAT and platform fee

  • Listed prices are VAT-exclusive: the applicable VAT (21% in Spain, or the rate applicable to the Sponsor's country under EU B2C digital-service rules) is added on top of the listed price and shown before payment.
  • The Platform fee is 10% of the net-of-VAT amount. The remaining 90% belongs to the Creator and is transferred to their Stripe account via a Stripe Connect destination charge.
  • Payment-processing fees: the payment-processing fees (Stripe fees) for each transaction are deducted from the Creator's share. The Creator therefore receives 90% of the net-of-VAT amount, less those processing fees. The exact Stripe fee for each transaction is itemised in the settlement and in the invoice issued to the Creator.
  • VAT calculation, collection and reporting are handled by Stripe Tax. The invoice is emailed to the Sponsor.

5.1 Self-billing (invoices issued by the recipient)

Pursuant to Article 5 of Spanish Royal Decree 1619/2012 and Article 224 of Directive 2006/112/EC, the Creator expressly authorises, with effect prior to the carrying out of the operations, The City Mesh (Sergi Cañas Galindo, self-employed sole trader, tax ID 46971884L, registered at Rambla de Fabra i Puig, 39, 08030, Barcelona, Spain), in its capacity as recipient, to issue in the name and on behalf of the Creator the invoices corresponding to the sponsorship services the Creator supplies through the platform (the 90% of the net-of-VAT amount, less payment-processing fees, transferred to the Creator in each transaction). This authorisation covers all operations settled through The City Mesh for as long as the Creator keeps an active account.

Each invoice is deemed accepted tacitly unless the Creator objects within fifteen (15) calendar days of it being made available in the Creator dashboard. The City Mesh will send the Creator a copy of each issued invoice. Invoices use a specific, distinct series for each Creator, with consecutive (gapless) numbering, and bear the mandatory wording "facturación por el destinatario".

Where the Creator is established in another EU Member State, the operation is subject to the reverse charge and the invoice charges no Spanish VAT, stating that mention. As the party obliged to issue invoices under Article 5.4 of Royal Decree 1619/2012, the Creator remains responsible for compliance with their invoicing obligations and undertakes to keep their legal name, tax ID / EU VAT number and fiscal address up to date. The Creator must be registered as a business or professional; if not, they cannot receive payouts until such status is evidenced. (Self-billing agreement version: sb-2026-06b.) In case of discrepancy, the Spanish version prevails.

6. Prohibited content

You may not create cities or publish content that:

  • Promotes unlawful activity, violence, hate, or discrimination.
  • Infringes third-party intellectual or industrial property rights.
  • Impersonates persons, brands, or organisations.
  • Diverts funds to purposes other than the declared project.
  • Involves products or services restricted by Stripe (stripe.com/legal/restricted-businesses).
  • Constitutes fraud, a pyramid scheme, unauthorised gambling, or any scam.

The Platform may suspend cities, withhold pending payouts and refund Sponsors upon actual knowledge of a breach.

Impersonation. In particular, if a city impersonates a third-party website, brand or entity (including using its name, logo or link to mislead Sponsors about who receives the sponsorship), the Platform may, without prior notice: (i) suspend or remove the offending city and the Creator's account; (ii) freeze their pending payouts and transfers; (iii) apply the amounts collected to refunding the affected Sponsors; and (iv) retain from those amounts the Platform fee and the reasonable costs of handling, investigation and disputes (including chargebacks) caused by the breach. The offending Creator is not entitled to receive any amount arising from the fraudulent activity. This is without prejudice to any civil or criminal actions and to the Platform's cooperation with the competent authorities and with the affected brand owners.

The Platform offers Creators a domain verification mechanism (DNS, file or meta tag) that displays a "Verified" badge next to the city's link. The absence of that badge is disclosed to Sponsors before payment; unverified links open behind an interstitial showing the real destination domain.

7. Right of withdrawal

A hex purchase is digital content supplied immediately upon payment confirmation. Pursuant to Article 16(m) of EU Directive 2011/83 (and Article 103.m of Spanish RDLeg. 1/2007), the 14-day right of withdrawal does not apply where the Sponsor expressly consents to immediate execution and acknowledges loss of that right. This consent is requested at Checkout.

8. Refunds

  • If a city is taken down within 30 days of purchase through fault of the Creator or the Platform, the Sponsor is entitled to a pro-rata refund.
  • To request a refund, go to My sponsorships and click "Request refund" on the relevant hexagon, or email us at support@thecitymesh.com. Each request is reviewed individually and, as this is an immediately-delivered digital service (see section 7), not every request qualifies for a refund. Approved refunds are processed via Stripe within 14 calendar days.
  • The Platform fee and Stripe processing fee are not refundable in voluntary disputes.

9. Permanence of the hex

A purchased hex is permanent for as long as the corresponding city remains published. The Platform may take a city down for breach of these Terms, for service shutdown (with 30 days' notice), or by legal requirement. Section 8 then applies.

9.1 Ownership and retention of cities; account deletion

Published cities are part of the service infrastructure. The Creator cannot delete or remove the cities they create: once published, the city and its sponsored hexes are retained to guarantee the permanence of the sponsorship acquired by Sponsors. The Platform reserves, over all cities created, the right of retention, hosting and continued display, without prejudice to the takedown powers in sections 6 and 9.

The Creator may, at any time, delete their account and request the erasure or anonymization of their personal data (see the Privacy Policy). Deleting the account has the following effects:

  • The Creator's cities stop accepting new purchases and new rentals of hexes (they are archived), but remain visible to preserve the permanence of the hexes already sponsored.
  • Active rentals (subscriptions) remain valid until they expire or are cancelled under the conditions they were contracted; they are not interrupted by the Creator's account deletion.
  • The Creator's personal data is anonymized, except data the Platform must retain by legal obligation (in particular, the fiscal identity and the self-billing authorization in section 5.1).

The Sponsor keeps the acquired hex at all times under the terms of this section, regardless of the Creator's account deletion.

9.2 Rewards offered by Creators

A Creator may voluntarily offer rewards tied to a number of hexes sponsored in their city (e.g. "2 hexes → sticker"). These rewards are defined, offered and delivered solely by the Creator: the Platform merely displays the tiers and indicates which Sponsors have reached them (including through an API the Creator can poll), and is not a party to that relationship and is not responsible for the delivery, quality, legality or taxation of the rewards. The hex price, VAT and platform fee in section 5 are unaffected by rewards (they are a gift from the Creator). Any claim about a reward must be addressed to the Creator.

10. Liability

The Platform is not a party to the underlying relationship between Creator and Sponsor regarding the project. The Platform provides technical infrastructure and billing but does not warrant the achievement of project goals or the truth of any claim the Creator makes. Sponsors must exercise their own judgment before sponsoring a project.

The Platform's maximum liability to either party for any single transaction is capped at the amount paid for that transaction.

11. Intellectual property

The code, design, city-generation algorithms, and "The City Mesh" brand are owned by the operator. Creators retain ownership of their brand, logo, and uploaded content and grant the Platform a non-exclusive licence to display them within the service. Sponsors retain ownership of their name, logo, and link and grant the same licence for display on their hex.

12. Personal data

Personal-data processing is governed by the Privacy Policy.

13. Changes to these Terms

The Platform may amend these Terms. Material changes are notified to active Creators with 15 days' notice. Continued use of the service after the effective date constitutes acceptance.

14. Governing law and jurisdiction

These Terms are governed by the laws of Spain. Any dispute will be submitted to the Courts of Barcelona, without prejudice to the consumer rights set out in Article 90.2 of Spanish RDLeg. 1/2007.

15. Alternative dispute resolution

Under Article 14 of EU Regulation 524/2013, consumers may use the European Commission's online dispute-resolution platform: ec.europa.eu/consumers/odr.
